ABOUT SPEEDLEGAL
SpeedLegal is a SaaS analytical tool that helps users review and understand complicated contracts in a short span of time. We use machine learning technology to read through natural language and assess relevancy.

You shall not scrape any information from the website including customer date and shall not harvest personal information about other users from SpeedLegal. The licenses granted by SpeedLegal shall terminate if you do not comply with these Terms of Service.

CREATING AN ACCOUNT
You may need to create your own SpeedLegal account to use certain SpeedLegal services. In case you provide any information in connection with use of SpeedLegal website or Service, you grant SpeedLegal a worldwide, royalty-free, nonexclusive, and fully sublicensable license to use, distribute, reproduce, modify, publish, and translate this personal information solely for the purpose of enabling your use of the applicable service. You may further be required to log into your account and have a valid payment method associated with it. You are responsible for maintaining the confidentiality of your account and password, which you agree not to disclose to any third party. You may not use a third party’s account, username, or password at any time. You may be held liable for any losses incurred by SpeedLegal, our affiliates, officers, directors, employees, consultants, agents, and representatives due to someone else’s use of your account or password. You agree to accept responsibility for all activities which occur under your account or password. You agree to notify SpeedLegal immediately upon becoming aware of any breach of security or unauthorized use of your account.
TERMINATION
SpeedLegal reserves the right to terminate or suspend your account immediately, without prior notice, with or without cause, and without limitation. Upon termination, right to use SpeedLegal software and Services will be revoked.Termination of Services with SpeedLegal shall not affect the enforceability of provisions of the Terms of Service, including but not limited to, protections regarding use of SpeedLegal’s intellectual property, indemnity, and Privacy Agreement.
DISCLAIMER OF WARRANTY
SpeedLegal Services and all information, content, materials, products (including software), and other services included on or otherwise made available to you through SpeedLegal Services are provided on an “as is” and “as available” basis, unless otherwise specified in writing. SpeedLegal makes no representations or warranties of any kind, express or implied, as to the operation of SpeedLegal Services, or the information, content, materials, products (including software) or other services included on or otherwise made available to you through SpeedLegal Services, unless otherwise specified in writing. You expressly agree that your use of SpeedLegal Services is assumed at your sole risk and that SpeedLegal cannot be held liable for reliance on its software. To the full extent permissible by law, SpeedLegal disclaims all warranties, express or implied, including but not limited to, implied warranties of merchantability and fitness for a particular purpose. LIMITATION OF LIABILITY
EXCEPT AS PROHIBITED BY LAW, YOU WILL HOLD SPEEDLEGAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS HARMLESS FOR ANY INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGE, HOWEVER IT ARISES (INCLUDING ATTORNEYS’ FEES AND ALL RELATED COSTS AND EXPENSES OF LITIGATION AND ARBITRATION, OR AT TRIAL OR ON APPEAL, IF ANY, WHETHER OR NOT LITIGATION OR ARBITRATION IS INSTITUTED), WHETHER IN AN ACTION OF CONTRACT, NEGLIGENCE, OR OTHER TORTIOUS ACTION, OR ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, INCLUDING WITHOUT LIMITATION ANY CLAIM FOR PERSONAL INJURY OR PROPERTY DAMAGE, ARISING FROM THIS AGREEMENT AND ANY VIOLATION BY YOU OF ANY FEDERAL, STATE, OR LOCAL LAWS, STATUTES, RULES, OR REGULATIONS, EVEN IF SPEEDLEGAL HAS BEEN PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGE. EXCEPT AS PROHIBITED BY LAW, IF THERE IS LIABILITY FOUND ON THE PART OF SPEEDLEGAL, IT WILL BE LIMITED TO THE AMOUNT PAID FOR THE SERVICES, AND UNDER NO CIRCUMSTANCES WILL THERE BE CONSEQUENTIAL OR PUNITIVE DAMAGES. CHANGES TO TERMS OF SERVICE AND PRIVACY POLICY
SpeedLegal reserves the right, at its sole discretion, to modify or replace these Terms of Service and the Privacy Policy at any time. If a revision results in a material change to the Terms of Service or Privacy Policy, SpeedLegal may, but is not bound to, provide thirty (30) days of notice prior to changes going into effect. What constitutes a material change will be determined at SpeedLegal’s sole discretion. By continuing to access or use SpeedLegal Services after revisions become effective, you agree to be bound by the revised terms.
INDEMNITY
You agree to defend, indemnify, and hold harmless SpeedLegal, its affiliates, and respective officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs and expenses, and attorney’s fees arising from: (a) Your violation of these Terms of Service; (b) Your violation of the privacy policy; (c) Your use of SpeedLegal’s advertised services; (d) Your violation of any third party right, including but not limited to copyright, property, or privacy rights; and (e) Any claim that is made against you by a third party as a result of using SpeedLegal services.
INTELLECTUAL PROPERTY: COPYRIGHT, TRADEMARKS, PATENTS
Unless otherwise stated, SpeedLegal owns all intellectual property rights for this website and all of the content published on it. SpeedLegal’s intellectual property includes, but is not limited to, any and all trademarks, copyrights, logos, images, illustrations, databases, graphics, sounds, and videos. You may not copy, distribute, broadcast, display, sell, license, or otherwise use SpeedLegal intellectual property, either in whole or in part, without written consent from SpeedLegal.
INAPPROPRIATE CONTENT.
When accessing the website and/or any Services, you agree not to upload, download, display, perform, transmit, or otherwise distribute any content that: (i) is libelous, defamatory, obscene, pornographic, abusive or threatening; (b) advocates or encourages conduct that could constitute a criminal offense, give rise to civil liability or otherwise violate any applicable local, state, national or foreign law or regulation; or (c) advertises or otherwise solicits funds or is a solicitation for goods or services. SpeedLegal reserves the right to terminate or delete such material from its servers. SpeedLegal will cooperate fully with any law enforcement officials or agencies in the investigation of any violation of these Terms of Service or of any applicable laws.
SEVERABILITY
If any provision of SpeedLegal’s Terms of Service or Privacy Policy are held to be invalid or unenforceable, such provision shall be severed and the remaining provisions shall remain enforceable.
ARBITRATION AGREEMENT
Any dispute or claim relating in any way to your use of any SpeedLegal Services, or to any products or services sold or distributed by SpeedLegal, will be resolved by binding arbitration, rather than in court, except that either party may assert claims in small claims court if the claims qualify. The Federal Arbitration Act and federal arbitration law apply to this agreement. There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow these Terms of Service as a court would. The arbitration, once initiated, will be conducted by the American Arbitration Association (AAA) under its rules, including the AAA’s Supplementary Procedures for Consumer-Related Disputes. The AAA’s rules are available at www.adr.org or by calling 1-800-778-7879. Payment of all filing, administration, and arbitrator fees will be governed by the AAA’s rules. The parties may choose to have the arbitration conducted by telephone, based on written submissions, or in person in San Francisco County or at another mutually agreed location. Both you and SpeedLegal agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration we waive any right to a jury trial. We also both agree that you or we may bring suit in court to enjoin infringement or other misuse of intellectual property rights.
GOVERNING LAW AND JURISDICTION
The Terms of Service and Privacy Policy shall be governed and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Federal Court in San Francisco, California shall have exclusive jurisdictions with respect to any issue arising from or under the use of the website or Services.
NO USE BY MINORS
You agree that by using the website, and/or any Services, you are at least 18 years of age and you are legally eligible to enter into a contract.
RIGHT TO REFUSE
You acknowledge that SpeedLegal reserves the right to refuse service to anyone and to cancel user access at any time.
